Operator: Etickz, LLC (“Etickz,” “S34T,” “us,” “we,” or “Company”)
Web/App Properties: www.S34T.com, www.S34T.biz, and any other sites or apps linking to these Terms (collectively, the “Sites”).

‍Service: Online platform for marketing, promotion, sale, and management of tickets to youth, amateur, and high-school sporting events (the “Service”).

ARBITRATION NOTICE: These Terms require binding arbitration on an individual basis and waive class actions and jury trials. See Section 18.

1. Binding Effect

These Terms constitute a binding agreement between you and Etickz, LLC. By using the Service or Sites, you agree to these Terms. We may update them periodically; the effective date will always be posted above. If you do not agree, stop using the Service. You represent you are of legal age to enter into this agreement.

2. Privacy Notice (Incorporated)

Our [Privacy Policy] is part of these Terms. It explains what information we collect, how we use and share it, your rights (including California and GDPR rights), COPPA protections, security measures, retention practices, and your choices.

3. Eligibility; Geography

Accounts are only available to users located in the United States. Creating or using an account from outside the U.S. violates these Terms.

4. Account Registration & Security

You must provide accurate information. Keep your password confidential. You are responsible for all activity under your account. Notify us immediately of unauthorized use. We may suspend or terminate accounts that violate these Terms.

5. Age Requirements / COPPA Compliance

The Service is not intended for children under 13. Users under 16 in California or the EEA must have verified parental/guardian consent. Organizers are responsible for ensuring compliance when involving minors in events.

6. Events & Ticketing

• Event Control: Sellers (schools, venues, promoters) control events, pricing, rules, and refund policies.
  
• All Sales Final: All ticket sales are non-refundable unless the Seller authorizes otherwise.
  
• Cancellations/Postponements: Organizers handle changes. Tickets for postponed events remain valid.
  
• Platform Role: S34T acts solely as a ticketing platform and is not the organizer, operator, or promoter of events.
  

7. Fees, Payments, Chargebacks, No Resale

• Ticket prices may include service fees and applicable taxes.
  
• Payments are processed by third-party Payment Processors. You authorize them to process your payment.
  
• Chargebacks: You agree not to circumvent these Terms via chargeback. If a chargeback occurs, S34T may suspend your account and recover related costs from you or the organizer.
  
• Organizer Liability: Event organizers are responsible for chargebacks and agree S34T may offset such costs against future payouts.
  
• Tickets may not be resold, transferred, or used for commercial purposes via the Service unless expressly permitted.
  

8. Force Majeure

S34T is not responsible for event cancellations, delays, or failures caused by events beyond our control, including weather, strikes, natural disasters, government restrictions, pandemics, or acts of God. Responsibility rests solely with the event organizer.

9. Intellectual Property & Content Use

All software, trademarks, and content are the property of S34T or its licensors. Unauthorized copying, modification, reverse engineering, or distribution is prohibited.

10. User Materials & Conduct

• By submitting content (reviews, photos, etc.), you grant S34T a non-exclusive license to use it for operating and promoting the Service.
  
• You may not:
  
  • Post unlawful, defamatory, obscene, or infringing content.
    
  • Use bots, scrapers, or automation to acquire tickets.
    
  • Circumvent ticket limits or security features.
    
  • Misrepresent identity or attempt fraudulent purchases.
    
• We may suspend or terminate violative accounts.
  

11. DMCA / Copyright Complaints

12. Prohibited Uses

You may not attempt to:

• Breach or probe system security.
  
• Upload viruses, malware, or malicious code.
  
• Spam, phish, or overload the Service.
  
• Use the Service for unlawful purposes.
  

13. Organizer Warranties & Responsibilities

Event organizers, promoters, and venues warrant that:

• Their events comply with all laws, regulations, safety codes, and permits.
  
• They maintain appropriate insurance coverage.
  
• They are solely responsible for the safety, legality, quality, and conduct of their events.
  

Organizers agree to indemnify S34T for any claims arising from violations of these warranties.

14. Indemnity & Event Liability

• S34T is solely a ticketing platform and not responsible for planning, promotion, production, management, or operation of any event.
  
• You agree S34T is not liable for any injury, illness, accident, death, property damage, or loss occurring at or connected with any event.
  
• You agree to indemnify, defend, and hold harmless S34T, its affiliates, officers, employees, and agents from all claims related to events.
  
• Event organizers expressly agree to indemnify and hold harmless S34T against claims brought by attendees, staff, contractors, or third parties in connection with their events.
  
• This indemnification covers claims for personal injury, illness, accidents, death, and property damage.
  

15. No Warranties

The Service is provided “as is” and “as available.” We disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

16. Limitation of Liability

We are not liable for indirect, incidental, special, punitive, or consequential damages. Our total liability is capped at the greater of:

1. $100, or
   
2. The amount paid for the transaction giving rise to the claim.
   

17. California Privacy Rights (CCPA/CPRA)

California residents have specific rights over their personal information, as detailed in our Privacy Policy. These include the right to know, delete, correct, and opt out of sale/sharing of personal data.

18. Data Security, Retention, & Breach Notification

We implement industry-standard safeguards to protect personal data. Retention and breach notification practices are outlined in our Privacy Policy.

19. Dispute Resolution & Arbitration

Any disputes must be resolved through binding individual arbitration in Los Angeles County, CA, under the rules of the American Arbitration Association. Class actions and jury trials are waived.

20. Governing Law & Venue

These Terms are governed by the laws of California, without regard to conflicts of law. Venue is Los Angeles County, CA.

21. Survival

Sections relating to indemnity, warranties, limitation of liability, arbitration, governing law, and survival will remain in effect after termination of your account or these Terms.

22. Entire Agreement & Modifications

These Terms, along with the Privacy Policy, form the entire agreement between you and S34T. We may update them at any time by posting revised Terms. Continued use constitutes acceptance.
